2. The Service

UrQ is a voice-controlled teleprompter application. We offer three tiers:

What UrQ Does

• Displays your scripts with voice-controlled scrolling

• Syncs playback position across your devices (Pro+)

• Lets you share documents within organizations (Team)

What UrQ Does NOT Do

• Store your script content (we only store Google Doc references)

• Access your microphone audio (speech recognition runs entirely in your browser)

• Share your data with unnamed third parties (see our Privacy Policy for details on the limited data we do share with service providers)

Technical Requirements

To use UrQ, you need:

• Web browser: A modern browser with Web Speech API support. Chrome is recommended for best speech recognition accuracy; Firefox and Safari have limited support.

• Internet connection: Required for authentication, document syncing, and multi-device features.

• Google account: Required for sign-in (OAuth) and Google Docs integration (Pro/Team tiers).

• Microphone: Required for voice control features. UrQ requests microphone permission in your browser; audio is processed by your browser and never sent to our servers.

3. Accounts

Registration

You create an account by signing in with a supported identity (OAuth) provider (currently Google). We don't store passwords — authentication is handled entirely by your identity provider.

Account Requirements

• You must be at least 18 years old

• You must provide accurate information

• You are responsible for all activity under your account

• One person, one account (no sharing accounts)

Account Security

Since accounts are OAuth-based, your account security depends on your identity provider. Keep your Google account secure.

4. Subscriptions and Payment

Free Tier

The Free tier is available at no cost with limited features. We may modify Free tier features at any time.

Paid Subscriptions (Pro & Team)

• Billing: Subscriptions are billed monthly or annually through Stripe

• Renewal: Subscriptions auto-renew unless cancelled before the renewal date

• Trial: We offer a 14-day free trial of paid features for new users. The trial is completely free — no payment method required, no charges during the trial, and trial days do not count toward your first billing period. If you don't activate a subscription, you are never charged.

Price Changes

We may change subscription prices. If we increase prices:

• We will notify you at least 30 days in advance

• Your current subscription price will remain unchanged for 12 months after the price increase is announced

• After 12 months, your subscription renews at the new price

Right of Withdrawal

You have the right to withdraw from your subscription within 14 days of purchase without giving any reason. While this is a statutory requirement for consumers in the European Union under the Consumer Rights Directive (2011/83/EU), we extend this right to all users regardless of location.

To exercise this right: Contact us at support@urq.app with a clear statement of your decision to withdraw. We will process your refund within 14 days using the same payment method you used for the original purchase.

Waiver for immediate access: During checkout, you will be asked to expressly confirm that you:

• Request that we begin providing the Service before the 14-day withdrawal period expires

• Acknowledge that once you access paid features, you lose your right of withdrawal for the current billing period

We will send you email confirmation of this acknowledgment. If you have not accessed any paid features, you retain your full right of withdrawal.

Refunds

Outside of the statutory withdrawal period, you may request a refund for the current billing period by contacting support@urq.app. We review refund requests on a case-by-case basis and generally grant them for legitimate concerns.

Abuse Prevention

We use Stripe Radar and related fraud prevention tools to protect against payment fraud and abuse. We reserve the right to:

• Refuse service to users who engage in a pattern of abuse (such as repeatedly subscribing and requesting refunds, creating multiple accounts to exploit trials, or initiating chargebacks for services legitimately rendered)

• Terminate accounts engaged in fraudulent activity

These measures are applied at the account level based on patterns of behavior, not for exercising your legitimate consumer rights. A single refund request will never result in account restrictions.

Non-Payment

If your payment fails:

• Your account is downgraded to the Free tier

• Organization members lose access to shared resources

• Your data is retained; you can restore access by updating payment

We do not terminate accounts for non-payment.

5. Organizations (Team Tier)

Creating Organizations

Team subscribers can create organizations and invite other users.

Organization Ownership

• Each organization has one owner

• Owners can transfer ownership to another member

• You cannot delete your account while you own organizations — transfer ownership first, or delete the organization

Downgrade Behavior

If a Team subscription is downgraded (to Pro or Free):

• Organization members lose access to shared documents

• Documents added by other members become inaccessible to you

• Only the owner retains access to their own documents

• Member accounts are not deleted — they just lose access to that organization's resources

6. Acceptable Use

Fair Use

We don't impose hard limits on documents or usage, but we expect reasonable use. Don't:

• Spam the service with excessive requests

• Use the service in ways that degrade it for others

• Attempt to overload our infrastructure

We reserve the right to throttle or restrict accounts that abuse the service.

Prohibited Activities

You may not:

• Use UrQ for any illegal purpose

• Attempt to access other users' data

• Reverse engineer, decompile, or disassemble the service

• Access the API directly (it's currently for internal use only)

• Scrape, crawl, or automatically extract data from the service

• Circumvent any access restrictions or security measures

• Resell or redistribute access to the service

• Use the service to harass, abuse, or harm others

API Access

The UrQ API is currently for internal use only. Accessing the API directly (e.g., using your JWT outside our official apps) is prohibited. We plan to offer official API access in the future.

7. Intellectual Property

Our Property

UrQ, including its design, code, and branding, belongs to Sigwin d.o.o. These Terms don't transfer any ownership to you.

Your Content

You retain ownership of your Google Docs and any content you create. We don't claim rights to your scripts or documents.

When you link a Google Doc to UrQ, you grant us permission to:

• Store the document ID and title

• Fetch the document content on your behalf (using your OAuth tokens)

• Display the content to you and (for Team) your organization members

This permission ends when you unlink the document or delete your account.

Feedback

If you send us feedback or suggestions, we can use them without compensation or attribution. Don't send us ideas you want to keep confidential.

8. Service Availability

Best Effort

We strive to keep UrQ available, but we don't guarantee uptime. The service is provided on a "best effort" basis.

We may:

• Perform maintenance (with notice when possible)

• Modify or discontinue features (for material changes affecting paid features, we will provide at least 30 days' notice)

• Experience outages beyond our control

No SLA

We don't offer a Service Level Agreement. For a consumer teleprompter app, we believe "best effort" is appropriate and honest.

9. Termination

By You

You can delete your account at any time from your account settings. Deletion is immediate; backups are purged within 30 days.

Reminder: Transfer or delete your organizations before deleting your account.

By Us

We may terminate your account immediately if you:

• Violate these Terms

• Abuse the service (technically or legally)

• Engage in fraud or illegal activity

• Harass our staff or other users

Abuse termination results in a permanent ban. Your OAuth identity is permanently blocked and you cannot create a new account, even on the Free tier.

Effect of Termination

Upon termination:

• Your access ends immediately

• Your data is deleted (backups within 30 days)

• Any active subscription is cancelled (no refund for abuse terminations)

10. Disclaimers

As-Is Service

UrQ is provided "as is" without warranties of any kind. We don't guarantee that:

• The service will be uninterrupted or error-free

• Speech recognition will be accurate

• The service will meet your specific needs

Third-Party Services

UrQ integrates with third-party services (Google, Stripe). We're not responsible for:

• Google Docs availability or functionality

• Your OAuth provider's security

• Stripe's payment processing

11. Limitation of Liability

What We're Not Liable For

To the maximum extent permitted by law, we are not liable for:

• Indirect, incidental, or consequential damages

• Lost profits, data, or business opportunities

• Service interruptions or outages

• Actions of third-party services

Liability Cap

To the maximum extent permitted by applicable law, our total liability to you is limited to the lesser of:

• The amount you paid us in the 6 months before the claim, OR

• The total amount you have ever paid us

Consumer Rights

Nothing in these Terms limits liability that cannot legally be excluded in your jurisdiction, nor affects your statutory rights as a consumer under applicable law.

12. Indemnification

You agree to indemnify us against third-party claims arising from:

• Your intentional or grossly negligent violation of these Terms

• Content you create that infringes third-party rights

• Your use of the service in violation of applicable law

This section does not apply to claims arising from our negligence or breach of these Terms, and does not affect your statutory rights as a consumer.

13. Dispute Resolution

Informal Resolution First

Before filing any formal dispute, contact us at legal@urq.app. We'll try to resolve it within 30 days.

Consumer Dispute Resolution (EU)

Arbitration

For EU/EEA Consumers: This arbitration clause is optional. You retain the right to bring claims before the courts of your country of residence, and nothing here limits your statutory consumer rights.

For all other users: If informal resolution fails, disputes will be resolved by binding arbitration through the Permanent Arbitration Court at the Croatian Chamber of Commerce under its rules. Arbitration will be conducted in English.

Arbitration Limitations

• Arbitration is individual only — no class actions

• Each party bears their own costs initially; the arbitrator may reallocate costs

• EU/EEA consumers may opt out of arbitration by notifying us in writing within 30 days of accepting these Terms

Exceptions

The following are exempt from arbitration and may be brought in court:

• Intellectual property disputes

• Injunctive relief for ongoing harm

• Small claims within court jurisdiction limits

Governing Law

These Terms are governed by the laws of Croatia. For matters not subject to arbitration, the courts of Croatia have exclusive jurisdiction.

14. Changes to Terms

We may update these Terms. When we make material changes:

• We'll notify you via email or in-app notice

• We'll update the "Last updated" date

• Changes take effect 30 days after notice (or immediately for legal requirements)

Continued use after changes constitutes acceptance.

15. Data and Privacy

Your privacy matters. See our Privacy Policy for details on how we handle your data.

Key points:

• We don't store your script content

• We don't access your audio

• We don't sell your data

• You can export or delete your data anytime at urq.app/app/account/data

16. Miscellaneous

Entire Agreement

These Terms, plus our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us.

Severability

If any provision is found unenforceable, the rest remains in effect.

No Waiver

Our failure to enforce a provision doesn't waive our right to enforce it later.

Assignment

We may assign these Terms in connection with a merger or acquisition. You may not assign your account.

No Agency

These Terms don't create a partnership, employment, or agency relationship.
